Affiliate Partner Agreement

Welcome to the Patriot Bio Affiliate Program (the “Program”), operated by Harpton, LLC d/b/a Patriot Bio (“Company,” “we,” “us”). By applying to and registering as an affiliate (“Affiliate,” “you”), promoting your referral link or discount code, or earning a commission, you agree to this Agreement, to our website Terms & Conditions and Privacy Policy at patriotbio.com (incorporated by reference), and to the Patriot Bio Affiliate Code of Conduct, which is also incorporated by reference and published at patriotbio.com/affiliate-code-of-conduct. You accept this Agreement and the Code of Conduct by checking the acceptance box on the affiliate application. If any of these documents conflict on a matter of content, messaging, or platform conduct, the Code of Conduct controls; on all other matters, this Agreement controls over the general website Terms & Conditions.

1. Approval & Enrollment

We may approve, deny, suspend, or revoke any affiliate account at our sole discretion. One person or business may hold one affiliate account. Opening multiple accounts, or directing payouts from more than one account to the same person or payout destination, is prohibited.

2. Program Overview

Affiliates promote Patriot Bio using their unique referral link and/or assigned discount code, and earn commission on qualifying sales they genuinely referred. This right is limited, non-exclusive, and revocable.

3. Commission Structure & Election

Each qualifying sale carries a fixed combined pool of 30% of net sale price (excluding tax, shipping, and refunded/charged-back amounts), split between a customer discount and Affiliate’s commission. Affiliate selects exactly one split on the affiliate application; the election applies to all future sales until changed prospectively — never retroactively. To request a change, contact us.

• Commissions are calculated on the net sale price after discounts, excluding shipping and tax.
• Refunded, cancelled, or charged-back orders reverse the related commission.
• Attribution window (cookie duration): as set by Company — currently 30 days.
• Commissions are earned per calendar month and paid by the 30th of the following month.
• Affiliate elects on the affiliate application to receive commissions as a cash payment or as store credit for Patriot Bio products, and may change this election prospectively by contacting us. Cash payments are issued by the payment method Company selects; cash balances under $50 roll forward to the following month.
• The Program does not pay cash performance bonuses. Any bonus, tiered rate, Founding Affiliate rate, or promotional incentive is valid only if offered to you in a signed written addendum to this Agreement.

4. Links, Codes & Attribution

• Only the referral link and discount code assigned to you may be promoted.
• Last-click attribution applies; no duplicate commissions on one sale. We are not responsible for sales that are not attributed to you due to disabled or cleared cookies or a customer’s failure to use your code.
• Your code may not be posted on coupon-aggregator, deal-site, or discount-forum listings; orders captured that way are not referred sales and do not earn commission.
• You may not advertise a discount larger than your code actually provides.

5. Tax Documentation & Payment

• You must provide a completed, current Form W-9 (or W-8, if applicable) before any cash payment is issued. We will request it through the method we designate and will issue Form 1099-NEC where required by law.
• We may withhold payment until your tax documentation is complete and current.
• You are solely responsible for reporting and paying tax on all amounts and store credit received, whether or not a 1099 is issued.

6. Platform Compliance; Hold Harmless

• You are solely responsible for reading and complying with the terms of service, guidelines, and policies of every social media platform you use to promote us (“Third-Party Platforms”) — re-read them before signing and periodically after.
• Your use of any Third-Party Platform is at your own risk. We have no liability, and you release and hold us completely harmless, for any suspension, ban, restriction, or takedown of your account on any Third-Party Platform, however arising.
• On Meta platforms (Facebook/Instagram): no direct link to our website; use only your assigned code; promotion is limited to Stories and comments on posts.
• You represent that no employer, agency, or service-branch policy restricts you from receiving compensation for endorsements (including as active-duty military or a government employee), and that you will not use rank, uniform, insignia, or agency affiliation to imply official sponsorship of Patriot Bio.

7. Prohibited Activities

Any of the following is grounds for commission clawback, immediate termination, and forfeiture of unpaid commission at our sole discretion:

• Spam, unsolicited email/SMS, or purchased/scraped contact lists
• False or misleading advertising, including overstated discounts
• Coupon-aggregator, deal-site, or forum listings of your code
• Cookie stuffing, fraudulent tracking, or self-purchases using your own link or code
• Paid advertising bidding on our brand name, trademarks, or product names; impersonation; lookalike sites or handles
• Sharing your account login, or operating more than one affiliate account
• Misuse of any customer information obtained through the Program

8. Exclusivity

While an active affiliate, you may not promote or hold an affiliate/ambassador position with a competing research-use-only peptide or compound brand. This restriction ends once you leave the Program. We may run the Program with any number of other affiliates.

9. Confidentiality & Intellectual Property

All creative, copy, pricing, and other materials we provide (“Materials”) are confidential and proprietary; do not share or distribute them. We grant you a limited, revocable, non-transferable license to use the Materials and our trademarks solely as approved, solely to promote Patriot Bio under this Agreement. We retain all ownership. This section survives termination.

10. Term & Termination

This Agreement is ongoing. Either party may end it at any time by written notice. We may suspend or terminate your account immediately, without notice, for any violation of this Agreement or the Code of Conduct — including the Prohibited Activities in Section 7 or the platform rules in Section 6. Commissions on qualifying sales completed before termination remain payable, subject to Sections 3 and 7.

11. Independent Contractor

You are an independent contractor, not an employee, agent, or partner of Patriot Bio. We do not withhold payroll taxes or provide employee benefits.

12. Indemnification

You will indemnify, defend, and hold us harmless from any claim or expense (including attorneys’ fees) arising from your breach of this Agreement, violation of a Third-Party Platform’s terms, unauthorized product claims, or violation of law. We will indemnify you from any third-party claim arising directly from a material defect in our approved Materials, used strictly as approved.

13. Limitation of Liability

To the fullest extent permitted by law, Patriot Bio is not liable for indirect, incidental, or consequential damages arising from your participation in the Program.

14. Governing Law; Dispute Resolution

This Agreement is governed by the laws of the State of California. Disputes will be resolved by binding individual arbitration; both parties waive any right to a jury trial or to a class, collective, or representative action, except where prohibited by law.

15. Modifications

We may update this Agreement or the Code of Conduct at any time by posting the update on patriotbio.com or by email; continued participation after the effective date constitutes acceptance.

16. Acceptance

By submitting your affiliate application and checking the acceptance box, you acknowledge that you have read, understood, and agree to this Agreement, our website Terms & Conditions and Privacy Policy at patriotbio.com, and the Patriot Bio Affiliate Code of Conduct.
